CONSTITUTION AND BYLAWS

OF THE

LEWISTON FUN ONES, INC.

SNOWMOBILE CLUB

MISSION STATEMENT

 

The Lewiston Fun Ones, Inc. is a snowmobile club organized for the purpose of providing its members and their families with current safety standards, legislation and instruction on safe snowmobiling.   The club may provide opportunities for friendship and acquaintances of mutual advantage to each other, and promotion of various club activities.

 

 

ARTICLE I

NAME

 

Section 1.  The name of this non-profit club, organized in compliance with the laws of the State of Michigan, shall be the Lewiston Fun Ones, Inc. Mailing address is Post Office Box 494, Lewiston, Michigan 49756-0494.  The building address is 4431 County Road 489 Lewiston, Michigan 49756-0494.

 

ARTICLE II

FISCAL YEAR

 

Section 1.  The fiscal year for the Lewiston Fun Ones, Inc. shall be from January 1st through December 31st of each calendar year.

 

ARTICLE III

MEMBERSHIP AND DUES

 

Section 1.  Membership shall be open to all persons interested in recreational snowmobiling and/or being part of a family oriented organization.  There shall be no limit on the number of memberships.  When a family member’s child reaches age eighteen (18) he/she must become a single member unless the child is a full time student dependant upon their parents’ support.  In this case the child will remain under the family membership until reaching age twenty-one (21).

 

Section 2.  An active member in good standing shall sponsor prospective member(s). An initiation fee of thirty dollars ($30.00) per family or fifteen dollars ($15.00) per single membership shall be paid upon submission of an application.  A simple majority of voting members is required for acceptance.  New members shall receive the following:

 

Ø  A copy of the Constitution and By-Laws.

Ø  A Membership Card.

 

Section 3.  Dues shall be seventy dollars ($70.00) per year for a family membership or forty dollars ($40.00) per year for a single membership.  After being successfully voted into the club said member(s) have thirty days (30) to pay their annual dues or their membership(s) shall be null and void. Lifetime membership may be awarded by the Executive Board with approval of the membership.

 

Section 4.  Annual dues increases or special assessments may be considered if the Executive Board deems it necessary.  It must be approved by the membership by a simple majority vote at the particular membership meeting.

 

Section 5. Each of the five (5) Executive Officers and the Club Manager shall be exempt from paying annual dues as long as he/she is holding office.

 

ARTICLE IV

ELECTIONS

 

Section 1.  Each dues paying member shall constitute one (1) vote.

 

Section 2.  Election of officers shall be held at the October meeting of the election year.  The Secretary will announce the “CALL FOR NOMINATION” in the August minutes and newsletter.  Members may submit nominations of themselves or other members in good standing (1 year) by the September meeting.  And at the September meeting nominations will also be taken from the floor.  If there is no candidate for a particular office the one (1) year requirement may be waived by a simple majority vote of the membership attending the nomination meeting.

 

Section 3.  The Executive Officers shall be elected by secret ballot. If running unopposed, nominees will then be deemed elected. Election shall require a simple majority of the voting members present.

 

Section 4.  The term of office shall be for two (2) years.  Any Executive Board member who has three (3) unexcused absences from the Executive Board meetings shall be deemed a voluntary quit and at that time, the President will appoint another person to fill the vacant position for the remainder of his/her term with the approval of the Executive Board.

 

Section 5.  The President shall appoint an independent Election Committee consisting of two (2) members three (3) months prior to the election.  They will be responsible for counting the votes and reporting the results to the membership.

 

ARTICLE V

OFFICERS

 

Section 1.  There shall be five (5) Executive Officers:

 

Ø  President                                           

Ø  Vice-President

Ø  Secretary

Ø  Treasurer

Ø  Bar Manager

 

Section 2.  In addition to the Executive Officers there shall be the positions of:

 

Ø  Sergeant of Arms

Ø  Executive Board Member at Large (3)

Ø  Trustee (3)

Ø  Club Manager (Appointed by the Bar Manager with approval of the membership)

 

Section 3.  The Executive Board shall be comprised of five (5) Executive Officers, Sergeant of Arms, three (3) executive Board members at large, Trustee Chairperson and Club Manager.  The Executive Board shall meet monthly preceding the full membership meeting pursuant to Article VIII Section 1.

 

ARTICLE VI

DUTIES OF OFFICERS

 

Section 1.  President: the President or his/her designee shall represent the best interest of the club and its members in the community.  He/she shall preside over and decide all questions of order at all club meetings except a Trustee meeting.  He/She calls all regular and special meeting of the club, except as otherwise stated in these By-Laws.  He/She shall have the deciding vote when the Executive Board is equally divided on an issue.  The President shall enforce all provisions of the Constitution and By-Laws.  When an officer position is vacated for any reason the President shall appoint a member to fill the vacancy, with approval of the Executive Board, for the remainder of the term.  He/she serves as an ex-officio member of all committees.

 

Section 2.   Vice-President: the Vice-President shall assist the President in the discharge of his/her duties and assume the duties of the President in his/her absence. 

In the event a vacancy occurs in the office of President, the Vice-President will serve as the President for the remainder of the term.  He/she is responsible for planning and execution of all club events.

 

Section 3.   Secretary: the Secretary shall record the minutes of all Executive Board, regular membership and special meetings.  He/she shall maintain a current membership listing, which shall include, but not be limited to, updated addresses and telephone numbers.

 

Section 4.   Treasurer: the Treasurer shall receive all money due the club and shall issue receipts for member dues.  He/she shall prepare receipts and deposit funds in the name of the Lewiston Fun Ones, Inc. into the financial institution approved by the Executive Board and the membership.  He/she shall keep an accurate record of all club funds.  He/she shall prepare a monthly report for the distribution to the Executive Board Members. Said report shall include, but not be limited to, all receivables, expenditures and current balances.  The Treasurer shall have books audited by an independent financial firm and returned before October 1st of the election year so that an orderly transfer of the information can occur.  He/she shall meet with the Trustees at a time and date convenient for both to review financial documents to determine the financial status of the club.

 

Section 5.  Bar Manager: the Bar Manager will appoint a Club Manager, with the approval of the Executive Board.  The Bar Manager is responsible for the ordering of all bar related supplies.  He/she will make sure all pricing is correctly posted.  He/she shall schedule bartenders and post schedules on a monthly basis.  All monies collected shall be submitted to the Treasurer each Monday at which time bartender sheets and receipts will be reviewed, monies counted and balanced and bar cash replenished.  He/she shall enforce all bartender rules and procedures.  He/she will resolve all complaints, concerns or questions related to the bar operation.  If unable to do so they will be brought to the attention of the Executive Board.  He/she will inventory the bar regularly as deemed necessary by the Executive Board.

 

Section 6.  Club Manager: the Club Manager shall oversee the building and premises and report any needed repairs or improvements to the President and the Executive board.  He/She will be responsible for inventory and ordering of Kitchen, Food, and Janitorial supplies. He/she will be sure the building is ready for all scheduled events.  He/she shall assist the Bar Manager with his/her duties when necessary.

 

Section 7.  Sergeant of Arm:  the Sergeant of Arms is responsible for, but is not limited to, maintaining order at all meetings. This includes, but is not limited to, enforcing the no smoking ban within the club and ensuring that all cell phones are shut off or in the silent mode.  He/she will make sue that people aren’t smoking in the “no smoking” area.(deleted entirely)

 

Section 8.  Executive Board Members at Large: the Executive Board Members at Large are voting members of the Executive Board meetings.  They may be selected by the President to serve on various committees or may be assigned other responsibilities designated by him/her.

 

Section 9.  Trustee: the Trustees shall meet with the Treasurer at a time and date convenient to both, but at least quarterly, to review all financial aspects of the club.  This includes, but is not limited to, a review of checks, bank statements, income,

expenditures, pricing, etc.  A written report of the findings, recommendations and issues related to club finances shall be submitted to the Executive board and/or membership within a reasonable period of time.  The Chairperson will be selected by the Trustees to represent the group at all Executive Board and membership meetings.  The chairperson will schedule all Trustee meetings.

 

ARTICLE VII

FUNDS

 

Section 1.  Revenue for the club shall not be used for the benefit of any individual, member or shareholder of the qualified organization except to further the lawful purposes of the club.

 

Section 2.  All funds and assets of the club shall be used only for reasons that are consistent with the purposes of the club and for actual administrative expenses in conducting the affairs of the club under the direction, and with the approval of, the Executive Board and the membership.  (The Executive Board may purchase land, building and equipment and operate and maintain the same as required to further the purpose of the club.) Omitted completely.

 

Section 3.  All funds are to be collected by the Treasurer and handled in a manner pursuant to Article VI Section 4.

 

Section 4.  The Treasurer or other designated officer shall sign all checks.  Property taxes, insurance and utilities shall be paid when due.  All other expenditures shall be paid after proper receipts are submitted.

 

Section 5.  The President is authorized to spend three hundred ($300.00) per month without membership approval.  Receipts are required for all expenditures.

 

Section 6.  The Bar Manager shall have a petty cash allowance in the amount of one hundred dollars ($100.00), which will be replenished as needed.  Receipts are required for all expenditures.  He/she shall also receive a Mileage allowance not to exceed one hundred dollars ($100.00) per month.

 

Section 7.  Bar pricing may be adjusted to reflect product cost increases.  Only Executive Board approval is required.

 

Section 8.  There shall be more than one (1) person handling and/or counting money at any event or 50/50.

 

ARTICLE VIII

MEETINGS

 

Section 1.  There shall be an Executive Board meeting on the second (2nd) Tuesday of each month.  The President may change this, if the need should arise.  A quorum of at least five (5) Executive Board members is required to conduct business.

 

Section 2.  The general membership meetings will be held at the club on the second (2nd) Saturday of each month at 7pm.  The President and/or the Executive Board may call special meetings or schedule a membership meeting when circumstances require such action.  Due notice should be given in advance if possible.

 

Section 3.  The Order of Business is as follows:

 

Ø  Meeting is called to order.

Ø  Introduction of prospective members.

Ø  Reading and approval of Secretary Minutes.

Ø  Reading and approval of Treasurer report.

Ø  Committee reports

Ø  Old Business

Ø  New Business

Ø  Adjournment

 

 

ARTICLE IX

COMMITTEES 

 

Section 1.  The President with the approval of the Executive Board may establish committees.  The President shall appoint members of these committees and these appointments expire at his/her pleasure or by action of the Executive Board.

 

ARTICLE X

COMPLAINTS

 

Section 1.  Complaints by any Executive Board member or member at large made against a member of the club shall be referred to the President or to any Executive Officer in writing.  The complaint, if warranted, shall then be forwarded to the Disciplinary Review Board, which shall consist of three (3) Executive Board members and two (2) members at large.  The Disciplinary Review Board will select a chairperson who will investigate the complaint and determine whether a hearing will be convened.  If so, the accused member shall be sent a copy of their complaint by registered mail with the date, time and location of the hearing.  Ample notification of least fifteen (15) days will be provided.  The accused member and the complainant shall be required to appear before the review board to discuss the facts contained in the complaint.  Failure to appear at the hearing may result in immediate expulsion from the club.  The review board will submit its findings and recommendations, in writing, to the Executive Board who may then adapt or modify the recommended disciplinary action.

 

Section 2.  Disciplinary action can be a verbal reprimand or, up to and including, expulsion from the club depending on the seriousness of the complaint.  Extenuating circumstances will be considered before any action is taken.

 

Section 3.  Inappropriate behavior by any member not requiring a disciplinary hearing, may result in, but not be limited to, a verbal  warning (verified in writing) for the first (1st) offense, a written reprimand and thirty (30) day suspension for the second (2nd) offense and membership revocation for the third (3rd) offense.

 

Section 4.  Any member found to have falsified his/her membership application in regard to their criminal history may have his/her membership terminated immediately.

 

ARTICLE XI

ASSUMPTION OF RISK

 

Section 1.  Each user of the Lewiston Fun Ones Inc. Club, by their use accepts the risks associated with club activities; including club sanctioned snowmobile rides.  Those risks include, but are not limited to, injuries to persons and/or property.  Reckless, careless or negligent conduct that is likely to endanger persons or property is strictly prohibited.

 

ARTICLE XII

AMMENDMENTS

 

Section 1.  Amending the Constitution and By-Laws shall require notification to all members.  Notification shall be by website and newsletter.  A copy of the revised Constitution and By-Lays will be posted on the board at the club.  The amendments must be approved by a (2/3) majority voted by the members present at that particular meeting.

 

Section 2.   The Constitution and By-Laws may be reviewed every two (2) years or as deemed necessary.

 

Section 3.   A keycard for entry maybe issued to any member that has been in good standing for two (2) years. (See Addendum: Article 1: Section 2)

 

ARTICLE XIII

DISSOLUTION-FAILURE OF CLUB-DISPOSAL OF PROPERTY

 

Section 1.  Dissolution:  Dissolution shall be decided by a vote of the membership present at a special meeting called specifically for this purpose.  Proceeding for dissolution shall be initiated by the following method:

 

Ø  By petition signed by (3/4) of the current membership and presented to the Executive Board at a regular meeting.

Ø  Upon the decision to hold dissolution meeting the Executive Board shall instruct the Secretary to notify the entire membership by certificate of mail.

Ø  The Executive Board shall call for a special meeting neither less than thirty days (30) nor more than sixty days (60) from the date the petition is received.

Ø  Voting shall be by those present with a written ballot.  The ballots will be supplied by the Executive Board and worded in such a manner that a “YES” vote means dissolve and a “NO” vote means not dissolve.

Ø  The vote to dissolve shall be by three fourth (3/4) majority of those voting.

 

Section 2.  Failure of Club:  The club may be terminated by properly constituted judicial authority acting in compliance with applicable laws of the State of Michigan.

 

Section 3.  Disposal of Club Property and Assets:  In the event Section 1 or Section 2 shall occur and after paying for payment of all liabilities of the club, all remaining assets shall be transferred to and for the benefit of Albert Township in Montmorency County.

 

ARTICLE XIV

CLUBHOUSE USE

 

Section 1.  The Lewiston Fun Ones, Inc. clubhouse or club property is to be used for Lewiston Fun Ones activities in accordance with all applicable State and Local laws and/or ordinances.  The Executive Board and the membership at a regular meeting prior to the event shall approve or reject exceptions.

TO THE CONSTITUTION AND BY-LAWS

ARTICLE I

RULES AND REGULATIONS

 

Section 1.  The Executive Board, by majority vote of its members, may set policy, adapt, abolish or modify rules and regulations as needed for the proper function of the Club so long as they are not in conflict with any provision of the constitution and by-laws.

 

Section 2.  A keycard for club entry may be issued to any member that has been in good standing for two (2) years.  The Executive Board may waive the two (2) year rules.  A five-dollar ($5.00) deposit for the card will be charged and will be refunded upon return to the club.  Keycards are not to be loaned to non-members under penalty of membership termination.  If a keycard is lost, the member must notify the Secretary immediately and there will be a five-dollar ($5.00) charge for a new keycard.

 


Section 3.  A membership year runs from January 1 thru December 31st.  There will be a thirty-day (30) grace period, but all dues and/or special assessments must be paid in full by January 31st.
